Standard Residential Real Estate Agent / Brokerage License
Media License Agreement, Service Terms & Copyright NoticeEffective Date: August 13, 2026 | Version: 2026.08.13
COPYRIGHT OWNERSHIP
All photographs, videos, aerial and drone media, 3D tours, floor plans, virtual staging, graphics, reels, property websites, preview images, and related deliverables produced by Pinnacle Services Network LLC d/b/a Pinnacle Property Media ("Pinnacle") are referred to collectively as the "Media." The Media are copyrighted works. Pinnacle retains all right, title, and interest in and to the Media, including all copyrights, unless an authorized representative of Pinnacle expressly transfers specified rights in a separate written agreement signed by Pinnacle.
Payment for services, delivery of digital files, possession of a copy, ownership of the photographed property, or access to a gallery does not sell, assign, or transfer copyright ownership. The Licensed Client receives only the limited license expressly stated in this Agreement.
LICENSED CLIENT, PROPERTY, AND LICENSE TYPE
This Agreement applies exclusively to the following client, property, and license type:
- Licensed Client: [Client]
- Licensed Property / Project: [FullAddress]
- License Type: STANDARD RESIDENTIAL REAL ESTATE AGENT / BROKERAGE LICENSE
- Agreement Version: 2026.08.13
The order, invoice, gallery record, and any written scope confirmation issued by Pinnacle are incorporated into this Agreement. No person or entity receives rights merely because that person or entity paid an invoice, owns or occupies the property, possesses a file, receives a forwarded link, is affiliated with the Licensed Client, or appears in the Media.
When the Licensed Client is an organization, the individual accepting this Agreement represents that the individual is authorized to bind the organization.
PINNACLE PORTFOLIO AND PROMOTIONAL USE
Pinnacle may use the Media for its own portfolio, self-promotion, marketing, education, awards, website, social media, advertising, and promotional platforms. Any confidentiality restriction or portfolio-use exclusion must be agreed to by Pinnacle in a separate writing before the photography or media-production appointment.
SERVICE COMPLETION
Media-production services are considered completed when the Media gallery access link or delivery link is sent by email and/or text message to the contact information supplied during booking. Delivery of the access link constitutes fulfillment of the contracted production service whether or not the Licensed Client opens, views, downloads, or uses the Media.
PREVIEW THUMBNAILS
Before payment, a gallery may display a limited number of small, low-resolution preview thumbnails solely to confirm that the correct property or project was captured. Preview thumbnails are intentionally reduced and may not accurately display the color, exposure, detail, resolution, or composition of the final delivered Media. Dissatisfaction with preview thumbnails does not constitute a production defect and does not cancel the order or payment obligation.
DOWNLOAD NOT REQUIRED; PRODUCTION FEE EARNED
The delivery system may require payment or acceptance of this Agreement before permitting full-resolution downloads. Those controls do not affect the payment obligation. Photography and media production require reserved appointment time, travel, on-site capture, editing, processing, and delivery resources. Once the scheduled appointment has occurred and the property or project has been captured, the service fee is earned and payable regardless of whether the Media are downloaded, accessed, published, or used.
CANCELLATION AFTER CAPTURE OR DELIVERY
If the Licensed Client later withdraws a listing, cancels a campaign, hires another photographer, changes brokers or managers, decides not to use the Media, or otherwise abandons the intended use after capture has occurred, the completed services remain billable in full.
PAYMENT AUTHORIZATION AND PAYMENT TERMS
By ordering services, the Licensed Client authorizes Pinnacle to charge the payment method supplied for services ordered and completed. Payment is due upon delivery unless Pinnacle approves different terms in writing, including Net-30, Net-45, deferred-payment, or pay-at-closing terms shown on the invoice or order.
An invoice not paid within fourteen (14) days after its applicable due date may incur a $50 late fee. A balance remaining unpaid thirty (30) days after its applicable due date may accrue interest at 1.5% per month (18% annually), or the maximum lawful rate if lower, on the outstanding balance, including applicable late fees, until paid in full.
Pinnacle may suspend future services and place an account on hold until all outstanding balances, late fees, and interest are paid. The Licensed Client is responsible for collection fees, court costs, and other reasonable collection expenses where permitted by law.
LICENSE ACTIVATION; NONPAYMENT AND CHARGEBACK SUSPENSION
Unless the invoice expressly provides approved credit or deferred-payment terms, the license becomes effective only after full payment. For an approved credit or deferred-payment account, the license may begin upon delivery but remains expressly conditioned on timely payment under the approved terms.
If payment is reversed, disputed, charged back, or remains unpaid after the applicable due date, the license is automatically suspended until the balance is paid in full or Pinnacle confirms reinstatement in writing. During suspension, the Licensed Client and all persons acting through the Licensed Client must immediately stop using the Media and remove the Media from active public display to the extent reasonably within their control. Continued use during suspension is outside the license.
LIMITED PLATFORM AND SERVICE-PROVIDER HANDLING
The Licensed Client may allow its employees and bona fide service providers, such as a web developer, printer, advertising vendor, virtual assistant, uploader, or delivery platform, to handle only the files reasonably necessary to carry out a permitted use for the Licensed Client. Each such person or provider acts solely on the Licensed Client's behalf, receives no independent ownership or license, may not use the Media in a portfolio or for any other customer, and must stop using and delete or return the Media when the task is complete or when requested.
When this Agreement permits upload to an MLS, IDX feed, booking platform, listing portal, social network, website host, advertising platform, or similar service, Pinnacle authorizes only the limited reproduction, caching, resizing, transmission, syndication, and display reasonably necessary to present the Licensed Client's permitted listing or campaign for the Licensed Property. No platform receives permission for unrelated advertising, another listing, a content library, resale, data products, artificial-intelligence training, or any independent reuse.
The Licensed Client remains responsible for the conduct of every employee, contractor, platform, and service provider to whom it supplies access. The Licensed Client may not knowingly grant or purport to grant rights broader than this Agreement.
GENERAL RESTRICTIONS APPLICABLE TO EVERY LICENSE
- Use is limited to the Licensed Client, Licensed Property / Project, permitted purpose, channels, and term stated in this Agreement and the applicable order.
- Except for the one-time Homeowner License Reassignment expressly described in the Homeowner Agreement, the license may not be assigned, transferred, sold, gifted, sublicensed, shared, bundled with a property or business sale, or provided to another person or entity.
- The Media may not be used to market another property, unit, development, business, location, product, service, or project, even if the properties or entities have common ownership.
- The Media may not be resold, offered as stock media, added to a content library, licensed to customers or affiliates, used on merchandise or products, entered into a dataset, or used to train, test, or develop artificial-intelligence or machine-learning systems without Pinnacle's separate written permission.
- RAW files, unedited source files, project files, and editable production files are not included unless the order expressly states otherwise.
- The Licensed Client may crop, resize, compress, convert file format, and add its own logo, contact information, captions, or property-specific call-to-action. The Licensed Client may not materially alter the Media, apply misleading filters, add or remove property features, create generative or synthetic alterations, or prepare other derivative versions without Pinnacle's written permission.
- Copyright notices, watermarks, embedded metadata, author information, and other copyright-management information may not be removed or altered without Pinnacle's written authorization.
- The Licensed Client may not claim authorship or copyright ownership, register the Media in its own name, or represent that the Media are owned by the Licensed Client or any platform.
- The Media may not be used in an unlawful, deceptive, defamatory, or misleading manner.
STANDARD RESIDENTIAL REAL ESTATE AGENT / BROKERAGE LICENSE
Upon activation, Pinnacle grants [Client] and the real estate brokerage under whose license [Client] is actively marketing [FullAddress] a non-exclusive, limited, non-transferable license to use the Media solely to market that property during the Licensed Client's active listing or representation period. The agent and affiliated brokerage are each responsible for compliance.
Permitted uses include:
- The applicable MLS and MLS-authorized syndication and IDX display for the active listing.
- The named agent's and affiliated brokerage's websites, property pages, social-media accounts, email marketing, digital advertising, brochures, flyers, signs, presentations, and other property-specific advertising for the active listing.
- Handling by team members and internal marketing staff solely on behalf of the named agent and brokerage for the Licensed Property. Those individuals receive no independent license.
The license ends when the listing or representation is sold, leased, expired, withdrawn, canceled, transferred, or otherwise no longer handled by the named agent and brokerage. The license does not transfer if the agent changes brokerages or if the property is re-listed with a different agent, team, or brokerage.
A replacement agent, successor brokerage, property owner, buyer, builder, developer, vacation-rental operator, property manager, marketing company, or other person or entity must obtain a separate written license directly from Pinnacle before using the Media. Upload to MLS or IDX does not transfer ownership or authorize scraping, downloading, or reuse by successor licensees or third-party websites.
BROKERAGE RESPONSIBILITY
When a real estate agent orders or uses the Media in connection with a property listed under an affiliated brokerage, the agent is acting in connection with that brokerage's licensed real estate activity. Use by the brokerage, a team member, an internal marketing department, or another person acting for the brokerage constitutes acceptance of and responsibility for the restrictions applicable to that use. The brokerage may not disclaim responsibility for Media it displays, distributes, or uses through its affiliated personnel.
NOTICE OF DEFECT / ACCEPTANCE PERIOD
The Licensed Client must review the delivered Media promptly. Any claim involving missing Media, capture of the wrong property or area, file corruption, or another objective technical production error must be reported to Pinnacle in writing within forty-eight (48) hours after delivery. If no written notice is received within that period, the Media and production services will be considered accepted as delivered.
CREATIVE STYLE AND SUBJECTIVE QUALITY
Photography and media production involve artistic interpretation and professional judgment. Differences in taste, staging decisions, weather, available lighting, property condition, camera angle, editing preference, or creative style do not by themselves constitute production errors and do not void payment obligations.
UNAUTHORIZED USE AND COPYRIGHT ENFORCEMENT
Any use outside the scope of this Agreement is unauthorized and constitutes a material breach. To the extent an unauthorized use exercises one or more exclusive rights reserved to Pinnacle, it may also constitute copyright infringement under applicable federal law. Intentionally removing or altering copyright-management information may create additional liability under applicable law.
Removing the Media after unauthorized use does not erase or release liability arising from earlier use. Pinnacle reserves all contractual, equitable, administrative, and statutory remedies available to it, including the right to seek relief in a court of competent jurisdiction or before the U.S. Copyright Claims Board when available.
RIGHT TO REFUSE OR SUSPEND SERVICE
Pinnacle may refuse, suspend, or condition future service for unpaid invoices, chargebacks, abusive conduct, repeated disputes, misuse of the Media, or material violations of this Agreement.
ELECTRONIC ACCEPTANCE
By checking the acceptance box and selecting a button such as "Download Media," "Access Media," or "Continue," the person accepting represents that the person has had an opportunity to review this Agreement, agrees to be bound by it, and is authorized to bind the Licensed Client and any covered organization. Downloading, accessing, publishing, or using the Media after the Agreement has been presented also confirms acceptance of the applicable license restrictions.
If you do not agree or are not authorized to bind the Licensed Client, do not accept the Agreement, download the Media, or use the Media. Pinnacle may retain electronic records of acceptance, including the agreement version, order, property, user account, date and time, and related transaction records.
GENERAL CONTRACT TERMS
A separate written agreement signed by an authorized Pinnacle representative controls over conflicting terms in this Agreement. Subject to that rule, an order or invoice may define the specific property, project, license type, use, or term and will control over a general provision only to the extent of a direct conflict. No purchase order, vendor portal term, platform term, email footer, or unilateral client term modifies this Agreement unless Pinnacle expressly agrees in a signed writing.
This Agreement and the incorporated order and invoice constitute the entire agreement concerning the Media license and replace prior oral statements concerning license scope. A waiver on one occasion is not a continuing waiver. If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. Headings are for convenience only.
Pinnacle may publish revised terms for future orders and downloads. The version affirmatively accepted for the applicable delivery governs that delivery unless the parties later agree in writing. The Licensed Client may not assign this Agreement except as expressly allowed in the Homeowner License Reassignment provision.
Florida law governs the contractual portions of this Agreement, without regard to conflict-of-law rules, while federal law governs federal copyright issues. Unless mandatory law requires a different forum, a contract action must be brought in a court serving the Florida county in which Pinnacle maintains its principal place of business at the time the action is filed. Nothing in this paragraph prevents Pinnacle from pursuing an eligible copyright claim before the U.S. Copyright Claims Board or in another forum having exclusive or mandatory jurisdiction.

- The Media may not be used in an unlawful, deceptive, defamatory, or misleading manner.
HOMEOWNER DIRECT-MARKETING LICENSE
Upon activation, Pinnacle grants [Client], as the named homeowner, a non-exclusive, limited license to personally market [FullAddress] without another real estate licensee, brokerage, property-management company, or commercial marketing entity using the Media as its own licensed content.
Permitted homeowner uses include:
- Personally marketing the Licensed Property for sale as a for-sale-by-owner property or for rent as an owner-managed property, to the extent the purpose is identified in the order.
- The homeowner's own website, social-media accounts, email, text messages, digital advertisements, printed flyers, brochures, signs, and presentations relating only to the Licensed Property.
- Owner-controlled consumer listing or advertising platforms that allow the homeowner to create and control the homeowner's own listing, provided the platform receives only the limited technical rights described in this Agreement.
The homeowner may not upload or deliver the Media to an MLS or IDX feed through a flat-fee, entry-only, limited-service, or full-service real estate broker; may not give the Media to a real estate agent, broker, brokerage, auction company, property manager, vacation-rental manager, builder, developer, investor, buyer, successor owner, or other commercial entity; and may not authorize any such party to publish the Media before Pinnacle confirms a license reassignment in writing.
ONE-TIME NO-COST HOMEOWNER LICENSE REASSIGNMENT
If the homeowner later hires a real estate agent, brokerage, flat-fee MLS broker, or other company that will market the Licensed Property, Pinnacle will complete one license reassignment at no charge, subject to the following conditions:
- The account must be paid in full and in good standing.
- The named homeowner must submit a written request identifying the exact receiving agent or company, the receiving brokerage when applicable, and the recipient's contact information.
- No reassignment is effective until Pinnacle confirms it in writing and issues or identifies the replacement license. Before that confirmation, the homeowner may not hand over files or authorize the recipient to use them.
- There is no license-transfer or reissuance fee for this one reassignment. The reassignment covers the existing Media for the same Licensed Property and does not include new photography, re-editing, additional deliverables, or broader usage rights.
- On the effective date stated by Pinnacle, the homeowner's personal license terminates completely. The homeowner must stop all public marketing use and promptly remove the Media from homeowner-controlled active listings, advertisements, websites, and social-media marketing. The homeowner may retain a private archival copy but may not publish, distribute, re-list, reclaim, or otherwise use it.
- The replacement license is issued only to the named recipient and, when the recipient is a real estate agent, the brokerage under which that recipient is marketing the property. The recipient may not transfer, assign, sublicense, or give the Media to another agent, brokerage, company, or person.
- The homeowner no longer owns or controls a license after reassignment and therefore cannot transfer the Media a second time. If the first recipient stops marketing the property and another recipient wishes to use the Media, that new recipient must obtain a new license directly from Pinnacle under the terms then available.
The reassignment changes only who holds the limited use license. Copyright ownership remains with Pinnacle at all times.
SALE, FORECLOSURE, OR OTHER OWNERSHIP CHANGE
The Homeowner License ends upon sale, foreclosure, deed transfer, or another change of ownership unless it ended earlier through the no-cost reassignment. A buyer, successor owner, investor, builder, tenant, operator, or property manager receives no license by acquiring or occupying the property and must obtain written permission directly from Pinnacle before using the Media.

VACATION RENTAL MEDIA LICENSE
Upon activation, Pinnacle grants [Client] a non-exclusive, limited, non-transferable license to use the Media solely to advertise, market, and accept bookings for the vacation-rental property and only the unit or units identified in the order for [FullAddress].
Permitted vacation-rental uses include:
- The Licensed Client's own website, direct-booking website or booking engine, property page, digital guest guide, and owner- or manager-controlled reservation channels.
- Vacation-rental and travel-booking platforms, online travel agencies, tourism portals, social-media accounts, email marketing, paid digital advertising, brochures, flyers, and other property-specific marketing controlled by the Licensed Client.
- Property-specific portfolio and company marketing that truthfully identifies the Licensed Property as a property currently owned, operated, or managed by the Licensed Client.
- Internal use by the Licensed Client's employees and limited handling by service providers solely to maintain the Licensed Client's permitted listings and campaigns.
The license does not authorize use to sell the real property, market a long-term real estate listing through an agent or brokerage, promote another rental unit or property, create generic destination stock content, or advertise a property after the Licensed Client no longer owns, operates, or manages it. A separate real estate or commercial license is required for a different purpose.
NO SHARING BETWEEN OWNER, MANAGER, OR SUCCESSOR OPERATOR
Only the legal person or entity named as [Client] is licensed. If the property owner is the Licensed Client, an independent property manager, vacation-rental company, co-host, real estate brokerage, hotel operator, franchise, travel agency, or booking company does not receive an independent license. If a management company or operator is the Licensed Client, the property owner, landlord, investor, affiliate, franchisor, franchisee, or successor manager does not receive an independent license.
The Licensed Client may not give, sell, assign, or release the Media to another owner, manager, management company, operator, brokerage, buyer, successor, affiliate, parent company, subsidiary, franchise, resort, hotel, travel company, builder, designer, contractor, or other commercial entity for that party's own use. Any party that wants its own use rights must obtain a written license directly from Pinnacle.
Two or more parties that both intend to use the Media, such as an owner and an independent management company, must be expressly identified and approved by Pinnacle in the order or a later written license. Shared access to an online account does not create shared licensing rights.
VACATION RENTAL LICENSE TERM AND TERMINATION
The license continues only while [Client] remains the owner or contractually authorized operator or manager of the Licensed Property and uses the Media for the original vacation-rental purpose. The license ends automatically when the Licensed Client sells the property, stops managing or operating it, loses authority to market it, closes the applicable rental business, or transfers the listing to another operator.
When the license ends, the former Licensed Client must stop new use immediately and use reasonable efforts to remove the Media from active websites, booking channels, advertisements, and social-media marketing within ten (10) business days. Previously distributed print materials need not be physically recalled, but they may not be reprinted or newly distributed. A successor owner or operator must obtain a new license directly from Pinnacle.

PINNACLE PROPERTY MEDIA
Commercial Media License
- License Type: COMMERCIAL MEDIA LICENSE
COMMERCIAL MEDIA LICENSE
Upon activation, Pinnacle grants [Client] a non-exclusive, limited, non-transferable license to use the Media for the specific commercial purpose commissioned for [FullAddress] and described in the order or invoice. The commercial purpose may be commercial real estate sale or lease marketing, business or location marketing, completed-project portfolio use, or another expressly identified campaign.
Permitted commercial uses, to the extent consistent with the commissioned purpose, include:
- The Licensed Client's own website, social-media accounts, email marketing, digital advertising, print advertising, brochures, proposals, presentations, trade-show displays, press materials, signage, and other ordinary business marketing controlled by the Licensed Client.
- For a commercial property sale or lease assignment, commercial listing services, property websites, offering materials, leasing packages, and property-specific advertising during the Licensed Client's active representation.
- For business, location, or completed-project marketing, the Licensed Client's own portfolio and promotional materials relating to the named business, location, or project.
- Internal use by the Licensed Client's employees and limited handling by outside vendors solely to create or place the Licensed Client's permitted marketing. Those vendors receive no independent license or portfolio rights.
A commercial license does not authorize use for another property, project, location, brand, franchise, business, product, customer, affiliate, or campaign. It does not authorize resale, stock-media distribution, licensing to a publication or partner, inclusion in a customer deliverable, product packaging, merchandising, data licensing, or another party's portfolio unless Pinnacle separately approves that use in writing.
NO TRANSFER TO ANOTHER COMMERCIAL OR LICENSED ENTITY
The Licensed Client may not give, assign, sublicense, sell, or transfer the Media to a property owner, landlord, tenant, buyer, seller, successor broker, replacement brokerage, management company, developer, architect, engineer, contractor, subcontractor, interior designer, stager, manufacturer, franchisor, franchisee, advertising agency, public-relations company, publisher, parent company, subsidiary, affiliate, client, customer, purchaser, successor business, or any other commercial entity for that party's own use.
A marketing vendor may handle the Media only as a limited service provider under this Agreement and may not retain, publish, display, license, or reuse the Media for itself or another customer. If another project participant or commercial entity wants to use the Media in its own website, portfolio, advertising, proposal, publication, or campaign, it must obtain a separate written license directly from Pinnacle.
No license passes through a sale of the property, sale of the business, asset purchase, assignment of a lease, change of broker or manager, franchise transfer, merger involving a different legal licensee, or delivery of project files. Any purported transfer is void unless Pinnacle expressly approves it in a signed writing.
COMMERCIAL LICENSE TERM
For commercial real estate sale or lease marketing, the license ends when the Licensed Client's listing, leasing assignment, or representation ends, or when the property is sold, leased, withdrawn, or transferred to another representative.
For business, location, or completed-project portfolio marketing, the license continues for the named Licensed Client's own original marketing purpose while that same legal person or entity remains in operation, unless the order states a shorter term. The license does not become transferable or expand to a purchaser, successor, affiliate, newly formed entity, or different location. Materially different campaigns or uses outside the original scope require Pinnacle's written approval.
